BOOKS DISTRIBUTION AGREEMENT

 

This BOOKS DISTRIBUTION AGREEMENT (‘Agreement’) is made on _____2025 and executed at Gautam Buddh Nagar.  

BY AND BETWEEN

PRASHANTADVAIT FOUNDATION, (hereinafter referred as 'FOUNDATION'), Regd. Address: House No 81C, Block B Sector-CHI-03, Greater Noida, Gautam Buddha Nagar, Uttar Pradesh, 201310, hereinafter referred to as ‘FOUNDATION’ which expression shall, unless repugnant to the context thereof include its successors and permitted assigns), of the FIRST PART.

AND

_______________________________, (hereinafter referred as ‘DISTRIBUTOR OF BOOKS’), Regd. Address ________________________________________________________, hereinafter referred to as ‘DISTRIBUTOR OF BOOKS’ which expression shall, unless repugnant to the context thereof include its successors and permitted assigns), of the SECOND PART

(‘FOUNDATION’ and ‘DISTRIBUTOR OF BOOKS’ are hereinafter also individually referred to as ‘Party’ and collectively referred to as ‘Parties’). 

WHEREAS:

  1. FOUNDATION/PRASHANTADVAIT FOUNDATION/PAF [By whatsoever name it is referred] is a registered trust and works for promoting spiritual content by Acharya Prashant, a spiritual teacher rooted in Advait Vedanta. 

  2. DISTRIBUTOR OF BOOKS (Retailer or any other similar expression) is a registered Proprietorship concerned of __________/LLP/Firm/Company/Trust/Society, the DISTRIBUTOR OF BOOKS is engaged in the activity of selling /donating/ distributing of the books and for the said purpose they have setup a store/stall at ________________. DISTRIBUTOR OF BOOKS will act as a medium between the Foundation and the Books sellers.

  3. DISTRIBUTOR OF BOOKS has approached FOUNDATION for taking the books published by the FOUNDATION and selling /donating/ distributing the books to bookstalls from the sanctioned list of Foundation, and other commercial establishments such as cafes, libraries, retail stores etc., and institutions such as libraries, schools, colleges etc after taking the prior approval of PAF. The FOUNDATION has agreed to provide the books for the said purpose.

  4. The NOW, THEREFORE, in consideration of the mutual promises set forth herein, and for other good and valuable consideration [if any], the receipt and adequacy of which is hereby acknowledged, the parties agree as set forth below.

NOW THIS AGREEMENT WITNESSETH AS BELOW:

Article 1

Definitions & Interpretation

  1. “BOOKS” means the Books published by the Foundation relating to any topic including the teachings of Gita, climate change, Education, way of life, general philosophy etc.; 

  2. “BOOKS DISTRIBUTION AGREEMENT” means the present agreement containing details, dates and reasons for which the Books are given to the DISTRIBUTOR OF BOOKS by the Foundation for selling /donating/ distributing the books to bookstalls from the sanctioned list of Foundation, and other commercial establishments such as cafes, libraries, retail stores etc., and institutions such as libraries, schools, colleges etc after taking the prior approval of PAF; 

  3. “Consideration” means the amount paid [if any] by the DISTRIBUTOR OF BOOKS along with the applicable taxes to the Foundation for which the Books are given to the DISTRIBUTOR OF BOOKS by the Foundation for selling /donating/ distributing the books to bookstalls from the sanctioned list of Foundation, and other commercial establishments such as cafes, libraries, retail stores etc., and institutions such as libraries, schools, colleges etc after taking the prior approval of PAF;

  4. “STORE/STALL” means the place from where the DISTRIBUTOR OF BOOKS will sell /donate/ distribute the Books of the Foundation to books to bookstalls from the sanctioned list of Foundation, and other commercial establishments such as cafes, libraries, retail stores etc., and institutions such as libraries, schools, colleges etc. STOE/STALL shall include not just a physical location but also the online address designated for the purpose of Distributing the books of the Foundation and also, any tangible or intangible location from where the distributor may operate as the distributor of the books of the Foundation.

  5. “SUSPENSION” means that all the activities in terms of the present Agreement w.r.t. to the books supplied by the PAF should be immediately stopped by the “DISTRIBUTOR OF BOOKS” during the period of suspension and till the final decision is made by the PAF. During the period of suspension online B2B account for purchase of books will be deactivated and purchasing through any other online and offline mode should be immediately stopped on receipt of email of suspension.

  6. REPRESENTATION AND WARRANTIES means all the representations as provided under this “BOOKS DISTRIBUTION AGREEMENT”; 

Article 2

MISCELLANEOUS

  1. The Agreement shall be valid for 11 months & effective from the Effective Date, i.e. when the all the documents have been provided by the “DISTRIBUTOR OF BOOKS” and all the documents have been accepted and approved by the PAF through email or from the date when the DISTRIBUTOR OF BOOKS started selling the books whichever is earlier.

  2. That signing of the present “BOOKS DISTRIBUTION AGREEMENT” would not automatically entitle the eligibility for setting up of the Bookstalls. If any “DISTRIBUTOR OF BOOKS” wants to set up a bookstall for selling the books of the Foundation, then they will be required to meet the eligibility criteria for bookstalls and sign the new undertaking and await the decision of the PAF.

  3. IN lieu of the consideration as set out in Article of this Agreement and Representation and Warranties as set out under the Agreement, the FOUNDATION will provide/sell the Books to the DISTRIBUTOR OF BOOKS to be sold /donated/ distributed through offline mode to other Books Sellers.

Article 3

Consideration

  1. In consideration of FOUNDATION, providing/selling the Books [of the foundation] to the DISTRIBUTOR OF BOOKS, the DISTRIBUTOR OF BOOKS will make the payment to the FOUNDATION as per the actual invoice/bill. That the entire consideration amount will be paid by DISTRIBUTOR OF BOOKS upfront before the receipt of the Books. The entire consideration amount shall be paid upfront before the books are received, ensuring a smooth and transparent transaction

Article 4

Indemnification

  1. “DISTRIBUTOR OF BOOKS” undertakes to indemnify and keep PAF indemnified always against any actions, claims, complaints, liability, suits, notices, loss etc. occasioned due to setup of store for Distribution of Books, including Social Media activities of store and its participants and/or during the functioning of the store for Distribution of Books or breach of any the terms of the declaration. “DISTRIBUTOR OF BOOKS” also undertakes to indemnify and keep PAF indemnified against any part of tax liability which “DISTRIBUTOR OF BOOKS” is required to pay to any authority including but not limited to any GST payment which they are/will be liable to pay. “DISTRIBUTOR OF BOOKS” also undertakes to indemnify and keep PAF indemnified always against any improper declaration to the authorities, which leads to any notice/liability on PAF. “DISTRIBUTOR OF BOOKS” undertake to indemnify and keep PAF indemnified always against any actions, claims, complaints, liability, suits, notices, loss etc. occasioned due to my setup of store for Distribution of Books or breach of any the terms of the declaration which have led to the use of name of PAF/Acharya Prashant on any platforms including but not limited to mass media/social media/print media due to the breach of the Representations and Warranties mentioned below.

Article 5

Representations and Warranties

The Parties represents and warrants to each other that the information contained herein below are true, complete and accurate in all material respects and that:

  1. Authorisation: The execution, delivery and performance by parties of this Agreement and the consummation of the transactions contemplated herein have been duly authorised by all necessary corporate/Trust/Proprietorship proceedings and this Agreement has been duly executed and delivered by Parties and constitutes a valid and binding obligation of Parties, enforceable in accordance with its terms.

  2. The DISTRIBUTOR OF BOOKS represents and warrants that they will intimate the people visiting the store/stall that they are not representing the Foundation, and they are not at all involved in the functioning and any other activity of the Foundation. The DISTRIBUTOR OF BOOKS represents and warrants that they will not make any claim of association with the Foundation to the people who will visit the STORE/STALL of the DISTRIBUTOR OF BOOKS. DISTRIBUTOR OF BOOKS will also ensure that their name, style, format etc. will not be in violation of the Foundation’s Intellectual Property rights and they will not show any similarity to the Foundation or association with Acharya Prashant/ Foundation. 

  3. The DISTRIBUTOR OF BOOKS represents and warrants that they will not create a whatsapp group wherein more than one BookStall is present in order to avoid any conflict and The DISTRIBUTOR OF BOOKS also represents and warrants that during the conversation with people as a distributor of PAF books, if any person shows interest in joining the groups where the teachings of the Foundation/ Acharya Prashant are being discussed, they will ask/help those people to install the official Acharya Prashant App and inform/help them in joining the Groups which are made available on the Acharya Prashant App.   

  4. The DISTRIBUTOR OF BOOKS represents and warrants that they will act as per the guidelines/directions provided by the Foundation members at the time of briefing or otherwise, this includes informing the people who are visiting STORE/STALL that the DISTRIBUTOR OF BOOKS is not an entity of the Foundation.   

  5. The DISTRIBUTOR OF BOOKS represents and warrants that they will sell/provide the books of the Foundation to bookstalls from the sanctioned list of Foundation, and other commercial establishments such as cafes, libraries, retail stores etc., and institutions such as libraries, schools, colleges etc. and they will not engage in selling to retail customers.

  6. The DISTRIBUTOR OF BOOKS understands and acknowledges that the all the books, catalogs, pamphlets, e-books, posters, banners, flyers, or any other materials provided by PAF or in the name of PAF/Acharya Prashant are the Intellectual Property of the FOUNDATION/ ACHARYA PRASHANT, hence the DISTRIBUTOR OF BOOKS represents and warrants that they will not violate any of the Intellectual Property of the FOUNDATION/ ACHARYA PRASHANT that includes the warranty that the Books provided to the DISTRIBUTOR OF BOOKS will be kept under safe custody and not allowed to be copied further including in any manner of form including the electronic medium. 

  7. The DISTRIBUTOR OF BOOKS represents and warrants that they will not misuse the name, photo, symbol, mannerism etc. of the Foundation/Acharya Prashant. 

  8. DISTRIBUTOR OF BOOKS warrants and represents that they will ensure that any of their employee/representatives etc. will not violate any of the Intellectual Property of the FOUNDATION/ ACHARYA PRASHANT including but not limited to adulteration in content of all the books, catalogs, pamphlets, e-books, posters, banners, flyers, or any other materials provided by PAF or in the name of PAF/Acharya Prashant in any form or manner.

  9. DISTRIBUTOR OF BOOKS warrants and represents that they might be required to create a WhatsApp group for the purpose of logistical reasons to smoothly do the work with regards to the work related to Distribution of books. Whatsapp group should only have the Distributor of Books and the Verified Volunteers and the same should not be used for the purpose of self-promotion. One member of the Foundation will be part of the Whatsapp group created for the said purpose. 

  10. DISTRIBUTOR OF BOOKS warrants and represents that they will not create any Whatsapp group relating to Foundation/Acharya Prashant and/or for the purpose of doing work under this agreement without taking prior permission from the Foundation. The permission will be granted on the basis of the list of guidelines provided by PAF including what is enshrined in the annexures. Any Whatsapp group created as mentioned under clause 5.8 or 5.9 will have one member from the Foundation who will mostly be a silent member. List of Do’s and Dont’s provided by the Foundation will have to be adhered to by the members for communication in the group. 

  11. DISTRIBUTOR OF BOOKS warrants and represents that they will not create any social media account/ YouTube channel/ twitter handle/Websites/Blogs etc., in the name of PrashantAdvait Foundation/ Acharya Prashant, in full or in part, DISTRIBUTOR OF BOOKS will not violate the Intellectual Property rights of the PrashantAdvait Foundation/ Acharya Prashant from any social media account in any form or manner. If DISTRIBUTOR OF BOOKS is currently running any social media account/ YouTube channel/ twitter handle/Websites/Blogs etc. which is showing content w.r.t PrashantAdvait Foundation/ Acharya Prashant then the same is also required to be intimated to PrashantAdvait Foundation and in case the PrashantAdvait Foundation asks for the discontinuation/removal of the same, DISTRIBUTOR OF BOOKS would be required to discontinue/remove the said social media account/ YouTube channel/ twitter handle/Websites/Blogs etc.

  12. DISTRIBUTOR OF BOOKS warrants and represents that they will not accept any donations/contributions etc. in the name of PAF. If any person/volunteer wants to contribute to the PAF, DISTRIBUTOR OF BOOKS will inform him/her/them to go through the official channel of PAF, ie, website/App etc.

  13. DISTRIBUTOR OF BOOKS warrants and represents that they will not approach any other institution/ college/ society etc. as a representative of the Foundation. While DISTRIBUTOR OF BOOKS can approach other institutions/colleges/society etc., however they will take prior permission from the Foundation before approaching them. DISTRIBUTOR OF BOOKS will connect the institution/ college/ society etc. to the FOUNDATION for the purpose of putting the books of Acharya Prashant in their institution/ college/ society etc. and the FOUNDATION will be the only authorized person to accept or not accept the proposal of keeping the books of Acharya Prashant in their institution/ college/ society etc. DISTRIBUTOR OF BOOKS warrants and represents that they will not use the books other than the Books provided by the PAF, at the warehouse setup under this undertaking where either of the canopy/banners/posters/standee/pamphlet/flyer/other marketing materials provided by the PAF is used. 

  14. DISTRIBUTOR OF BOOKS warrants and represents that they will not engage in donating the books in any public event without the prior permission of the PAF.

  15. DISTRIBUTOR OF BOOKS warrants and represents that the “STORE/STALL” setup by them will not be setup in collaboration with any other store dealing in the business of selling the books. “DISTRIBUTOR OF BOOKS” also warrants that the “STORE/STALL” will not be setup inside or outside any other store dealing in the business of selling the books.

  16. “DISTRIBUTOR OF BOOKS” warrants that the books provided by the FOUNDATION shall be sold/donated/distributed directly to the BOOKS SELLER authorized by the FOUNDATION and under no circumstances the books can be sold/donated/distributed to any store or shop other than the authorised BOOKS SELLER of the FOUNDATION either through the offline or online mode. “DISTRIBUTOR OF BOOKS” also warrants that they will not sell/donate/distribute the books of the FOUNDATION through online mode.

  17. “DISTRIBUTOR OF BOOKS” warrants that the terms of this Agreement for DISTRIBUTION of Books is subject to periodical review/inspections/assessments/verifications by PAF of the work carried out by Distributor from time to time and Distributor declare to fully cooperate with PAF during such review/inspections/assessments/verifications as and when requested and scheduled by PAF. Distributor declare that Distributor shall periodically submit the reports/logs/data as required by PAF.

  18. “DISTRIBUTOR OF BOOKS” warrants that the minimum order quantity for placing the order of books each time is 1000 units. The minimum number of books of 1000 units is subject to revision by the PAF at its own discretion. 

  19. “DISTRIBUTOR OF BOOKS” warrants that they understand and agree that the books are provided by PAF are at the minimum possible amount for the benefit and welfare of the public at large. “DISTRIBUTOR OF BOOKS” hereby declare that the books will be sold at a reasonable price, which in no circumstances shall exceed the book MRP.

  20. “DISTRIBUTOR OF BOOKS” warrants that they will purchase books of the PAF only through their official B2B online account and in no circumstances, they will purchase books from the PAF retail website, which is only meant for the retail buyers. “DISTRIBUTOR OF BOOKS” warrants that they will not purchase books of the PAF from any other book sellers [online/offline] including [if applicable] the bookstall setup by the present entity under the separate undertaking, and/or any other official distributor of the PAF.

  21. “DISTRIBUTOR OF BOOKS” warrants that they will sell the books only to sell/provide the books of the Foundation to bookstalls from the sanctioned list of Foundation, and other commercial establishments such as cafes, libraries, retail stores etc., and institutions such as libraries, schools, colleges etc with prior approval from PAF. “DISTRIBUTOR OF BOOKS” warrants that if any Bookstall who is not in the empanelled/allocated list approaches them for buying Books to setup Bookstalls, “DISTRIBUTOR OF BOOKS” will immediately refer them to PAF. If the said Bookstall is allowed to be empanelled by PAF, only then “DISTRIBUTOR OF BOOKS” can sell the books to such Bookstall.  

  22. “DISTRIBUTOR OF BOOKS” warrants that a team of volunteers may be needed for managing the work required to be done by the Distributor under this agreement. “DISTRIBUTOR OF BOOKS” warrants that, they will forward the list of volunteers they wish to engage for necessary background verification from PAF for each such volunteer shortlisted by “DISTRIBUTOR OF BOOKS”. “DISTRIBUTOR OF BOOKS” warrants that only once the background verification for each volunteer has been done by PAF and inputs have been shared with “DISTRIBUTOR OF BOOKS”, then only they will actively/passively involve the volunteers with good background verification. “DISTRIBUTOR OF BOOKS” warrants that notwithstanding anything stated here and above, they shall be solely responsible for all acts and actions of the volunteers who are working on behalf of “DISTRIBUTOR OF BOOKS”, and “DISTRIBUTOR OF BOOKS” shall not hold PAF responsible for any actions/inactions of such volunteers. “DISTRIBUTOR OF BOOKS” also warrants that any act done by the volunteers will be in their individual capacity and any consequences of the actions of the volunteers and/or our actions will be on volunteers and/or on “DISTRIBUTOR OF BOOKS” and the PAF will not be liable in any way for those actions and consequences. “DISTRIBUTOR OF BOOKS” warrants that they will treat all the volunteers respectfully and treat them commensurate to their contribution. 

  23. “DISTRIBUTOR OF BOOKS” warrants that they shall not be directly or indirectly involved in any print media/mass media/social media or hold or give any interviews which in any manner represent my affiliation/association directly or indirectly with PAF/Acharya Prashant.

  24. “DISTRIBUTOR OF BOOKS” warrants that they will not engage in any anti-market activity to artificially manipulate the price of the books. “DISTRIBUTOR OF BOOKS” warrants that they will not engage in the activity of hoarding the books of the PAF which will lead to price fixing or unfair competition.

  25. “DISTRIBUTOR OF BOOKS” warrants that they will act as per the guidelines/directions provided by the PAF members at the time of briefing or otherwise and any non-adherence to the said guidelines/directions can lead to immediate termination/cancelation of permission to act as the distributor of books. However, the PAF at its sole discretion depending upon the nature of non-adherence allow “DISTRIBUTOR OF BOOKS” the opportunity to defend them and may suspend the permission to act as the distributor of books till the final decision. The decision of the PAF in this regard will be final and binding.

  26. “DISTRIBUTOR OF BOOKS” warrants that if they found violating the terms of the agreement or the information provided by them is found to be incorrect, PAF can suspend their account till final decision/block the account/ cancel their order of Books at any stage of the order processing, without according any reason whatsoever. However, the PAF at its sole discretion depending upon the nature of incorrect information/wrong, may allow “DISTRIBUTOR OF BOOKS” the opportunity to defend themselves. The decision of the PAF in this regard will be final and binding. Furthermore, “DISTRIBUTOR OF BOOKS” warrants that if they are found violating any of the above terms, engaging in any indecent, inappropriate, or threatening behaviour towards PAF employees or representatives, PAF shall have the sole discretion to immediately suspend their account till final decision/block the account/ cancel or terminate their permission to distribute the books at any location, without providing any reason. PAF also reserves the right to stop further supply of books and, if deemed necessary, recall books already provided. However, the PAF at its sole discretion depending upon the nature of incorrect information/wrong allow “DISTRIBUTOR OF BOOKS” the opportunity to defend themselves. The decision of the PAF in this regard will be final and binding.

  27. “DISTRIBUTOR OF BOOKS” warrants that, if they have also signed the separate undertaking to setup a bookstall, then any non-compliance of the directions of the members of PAF/Terms of this Agreement/Clauses of the Undertaking signed for setting up a Bookstall by either the “DISTRIBUTOR OF BOOKS” or the person engaged in the management of the “DISTRIBUTOR OF BOOKS” will lead to termination/suspension of Agreement for “DISTRIBUTION OF BOOKS” and  also the permission for setting up a Bookstall.

  28. “DISTRIBUTOR OF BOOKS” warrants that, Distributors must maintain a high standard of professionalism when dealing with bookstalls and other establishments. Distributors should also immediately report to PAF for review and action, if they notice any misconduct, policy violation, or unethical behaviour done by a bookstall and/or other establishments. 

  29. “DISTRIBUTOR OF BOOKS” warrants that, in case of any dispute between a distributor and a bookstall, the issue must be promptly reported to PAF by the Distributor. 

  30. The Parties understand that the breach of the afore-mentioned representations and warranties will constitute a material breach of the Agreement.

Article 6

Term and Termination

  1. That the agreement will be for an initial period of 11 months and it can be terminated by either party after intimating the other party and giving them prior notice of a month. That the agreement can be periodically renewed for a further period of 11 months after the agreement between the parties. The renewal of the agreement can be agreed between the parties on the exact same terms or such other terms and conditions after following communicating between each other either through registered post or through official email. That in terms of any material breach of this Agreement the Foundation will be free to terminate this Agreement. The Foundation would be further entitled for the refund/recovery of the entire amount invested under the Agreement along with the damages as necessitated due to the material breach and parties will also be entitled to initiate any other appropriate proceedings as per law. The obligations with regards to the Intellectual property breach, data protection and warranty in terms of clause 5 will continue to operate even after the termination of the agreement, if the said warranty has not become inoperative due to the termination of agreement. In case the new Agreement could not be signed between the parties after the expiry of 11 months, then “DISTRIBUTOR OF BOOKS”  will immediately stop the operations after selling the remaining books within the grace period provided by the PAF and PAF at its own discretion might ask “DISTRIBUTOR OF BOOKS” to return the remaining books supplied to “DISTRIBUTOR OF BOOKS” by the PAF at the price at which they were supplied by the PAF. If the PAF ask for the return of the books then the same should be returned immediately and in any case within 15 days.

6.2 Any changes/modifications/additions to this agreement can be brought in by way of an addendum to the agreement. Any party may propose the same after taking acceptance of the same from other party though registered post or through official email. 

Article 7

Miscellaneous

 

  1. Time period for delivery: Foundation will try to deliver the books as soon as possible, after the payment or contribution to the Foundation by the DISTRIBUTOR OF BOOKS. However, due to logistical reasons including the time taken by the delivery partners and other constraints it takes approximately 15 days to get the Books delivered subject to the place where the books are required to be delivered. In some cases, it may take more than 15 days to get the Books delivered and Foundation will not be held liable in anyways if the time taken is more than 15 days from the payment or contribution to the Foundation by the DISTRIBUTOR OF BOOKS.

  1. Applicable Governing Law: This Agreement shall be governed and construed in accordance with the laws of India. The Parties hereto agree that they shall use all reasonable efforts to resolve between themselves any disputes, controversy or claim arising out of or relating to this Agreement, other than a dispute, the resolution of which is specifically provided for in this Agreement. If the Parties fail to resolve the matter through mutual agreement within 15 days, the dispute shall be resolved through arbitration conducted by a sole arbitrator under the provisions of Arbitration and Conciliation Act, 1996 to appointed by parties to the agreement. If the parties will not be able to agree to the name of the sole arbitrator, then the parties can approach the appropriate court for the appointment of the Sole arbitrator in terms of the Arbitration and Conciliation Act, 1996. The decision of the arbitrator shall be final and binding upon the parties. The venue for arbitration will be at Gautam Buddh Nagar [Noida], U.P. and the language used shall be English.

  2. That the terms of this Agreement for DISTRIBUTION of Books are subject to periodical review/inspections/assessments/verifications by PAF of the work carried out by Distributor from time to time and Distributor declare to fully cooperate with PAF during such review/inspections/assessments/verifications as and when requested and scheduled by PAF. Distributor declare that Distributor shall periodically submit the reports/logs/data as required by PAF. 

REFUND POLICY

  1. That the Foundation has strict no refund policy with respect to the books supplied by the Foundation to the DISTRIBUTOR OF BOOKS, however in case of any genuine grievance at the end of the DISTRIBUTOR OF BOOKS, they should notify the foundation within 72 hours through the email about any deficiency in the supply of the books including the damaged products and also provide the proof of the same. The Foundation will corelate all the data available with the Foundation about the said supply including the data from the warehouse and delivery partner to take the final decision about the issue raised by the DISTRIBUTOR OF BOOKS including the quantum of refund amount. The Foundation in any case will not provide the books again and if the claim of the DISTRIBUTOR OF BOOKS is found genuine the claim will only be decided on the basis of refund of the amount of damaged books. The Books seller will not be liable to get any compensation from the Foundation in any case. The decision taken by the FOUNDATION will be final and binding.

IN WITNESS WHEREOF, the Parties hereto have caused this Agreement to be duly executed as of the date first set forth above.

Welcome to a deeply enriching journey as an official distributor of Acharya Prashant’s books. This work is not just about distribution; it is an opportunity to serve wisdom, enabling individuals and institutions to access transformative literature that fosters clarity and understanding.

To ensure a smooth and meaningful endeavour, all official distributors must be registered with PrashantAdvait Foundation (PAF). As an authorized distributor, you will have the privilege of supplying Acharya Prashant’s books to registered PAF bookstalls, educational institutions (schools, colleges, libraries), corporate offices, and commercial retail establishments such as marketplaces through offline channels under the terms and conditions stated in the undertaking.

To formalize your role, your legal entity must complete and sign the Official Distributor Agreement with PAF, ensuring compliance with all necessary requirements.

We invite you to carefully review the following guidelines to facilitate a seamless and fulfilling association.

  1. Approval and Verification Process for Bookstalls

Submission of Existing Bookstall List:

  • Before supplying books, distributors are required to submit a list and details of all existing bookstalls they distribute to (if applicable).

  • PAF will review and verify the submitted list before the distributor proceeds with book supply.

  • Distributors should ensure that books are supplied only to approved bookstalls as provided by PAF.

List of sanctioned bookstalls

  • All bookstalls that stock Acharya Prashant’s books must be registered with PAF, following the prescribed registration process.

  • As an official distributor of Acharya Prashant’s books, you are permitted to supply books only to bookstalls that:
    a) Are registered with PAF.
    b) Are included in the sanctioned list of bookstalls provided to you by PAF. This list will be periodically updated to incorporate newly registered bookstalls and, if necessary, remove existing ones.

    Note: Both the above conditions (a, b) are necessary conditions to provide books to any bookstall. 

Approval for New Bookstalls:

New Bookstalls are those that are not in the sanctioned list provided by PAF.

  • For any new bookstalls, distributors must first submit the details to PAF for verification. 

  • PAF will conduct necessary checks to ensure that all bookstalls meet the required eligibility criteria.

  • The supply of books to the new bookstall can only be initiated after verification and approval from PAF, and once the bookstall is updated on the sanctioned list provided to you by PAF. 


  1. Supply of Books

As an authorized distributor, you will have the privilege of supplying Acharya Prashant’s books to registered PAF bookstalls (as listed in the sanctioned bookstall list), as well as to commercial retail establishments such as marketplaces, bookshops, cafes, and other stores, and non-commercial institutions such as schools, colleges, libraries, and corporate offices. All book supplies must take place exclusively through offline mediums, as per the terms and conditions outlined below.

Instructions for Supplying to Bookstalls in the Sanctioned List

  • Distributors must strictly follow the sanctioned bookstall list provided by PAF. Supplying books to any bookstall not on this list will be considered a violation of the agreement.

  • PAF will conduct periodic verifications and reviews, and the sanctioned bookstall list will be updated accordingly for new bookstalls. 

  • If a new bookstall approaches a distributor for books, they must first register with PAF. Distributors should direct such requests to PAF for approval.

  • Even if a bookstall presents proof of PAF registration, distributors must first inform PAF and wait for the updating of the sanctioned bookstall list before supplying books.

  • Order Processing: Orders from bookstalls must be received only through the prescribed form provided by PAF. This form will be made available to all sanctioned bookstalls once the agreement is signed.


Instructions of supply to all commercial and non-commercial establishments (other than bookstalls):

  • Distributors must take prior approval for all commercial and non-commercial establishments they plan to approach and get it approved by PAF. 

  • These establishments can be commercial such as bookshops, retail shops, cafes, events, fairs etc. or non-commercial such as corporate offices, libraries, schools, colleges, hospitals etc.

  • The prescribed format for seeking approval for all non-bookstall entities shall be shared after signing the agreement. This approved list shall be maintained and updated from time to time.


  1. Dual Role: Distributor and Bookstall Operator

Dual Registration with PAF

  • If you wish to set up bookstalls in addition to your role as a distributor, you will need to sign a separate official undertaking for bookstall operations.
    Please note that signing the distributorship agreement does not automatically grant permission to set up bookstalls.

  • Additionally, in case of any violation of the guidelines related to bookstall operations, it may also impact your distributorship, and vice versa.

Responsibilities and Compliance

  • Distributors who also operate bookstalls are expected to maintain complete fairness in their role.
    They must ensure that their distributorship is not used to give preferential treatment to their own bookstall over others.

  • All bookstalls listed in the sanctioned list should receive an equal and steady supply of books without bias.

  • Distributors are encouraged to manage their inventory efficiently to meet the demands of all bookstalls under their responsibility.

  1. Reporting and Accountability

  • Distributors are required to maintain proper records of all book supplies and submit monthly reports in the prescribed format. This includes logs of the books supplied to all entities (bookstalls, commercial and cnn-commercial establishments) on a periodic basis. 

  • Reporting must follow the schedule set by PAF, which may be revised from time to time.

  • The method of reporting including the data sheets to be maintained shall be shared with you post signing of the agreement.

  1.  Use of Marketing Materials

Guidelines for Using Materials for Marketing

  • Kindly ensure that Acharya Prashant's name, photo, logo, or signature are not used on any handmade or self-printed materials, as the distributors are independent and not affiliated with PAF. 

  • You may use the designs provided by PAF for posters, and other marketing materials.

  • All materials—including catalogues, pamphlets, posters or any other marketing materials —must be approved via email before printing. If any unauthorized materials are being used, please ensure they are promptly removed.

  • All approval requests should be sent to books.outreach@advait.org.in. The processing time for approval requests would be 3-4 days.

  • Kindly note that seeking permission does not guarantee approval. Distributors should not proceed unless a reply is received.

  • To maintain accuracy and consistency, translations of any posters, materials, or content into other languages are not permitted without prior approval.

Quality Considerations

Even when using approved materials, please keep in mind:

  • Ensure the design and messaging are culturally appropriate. 

  • Messaging should clearly indicate that the distributorship is independently operated and not affiliated with Acharya Prashant or PAF.

  1. Media and Public Interactions

To ensure a smooth experience and protect the integrity of this initiative, we require your cooperation in handling media interactions responsibly.

Engaging with Media

  • Authorized distributors should not engage with media personnel, YouTubers, or influencers without prior organizational approval. 

  • Media interviews—at any site—must not be given using the PAF books distributorship as a topic, reference, or premise.

  • Politely decline to comment on Acharya Prashant, his teachings, or the PAF. 

  • If someone approaches with a camera or microphone, politely decline permission to film or record the books or yourself in the context of PAF books distributorship. 

  • Please remember that even well-intended content can be misrepresented through edits.

  • If any unexpected media interaction occurs, please inform the Books Counseling Manager (BCM) via a phone call and report it in your WhatsApp group. 

 7. Volunteer Conduct

Eligibility & Verification

  • As an Authorized Distributor, you may engage a team of volunteers to assist with various aspects of the distributorship, including logistics, inventory management, transportation, sales, and communication.

  • All volunteers must be reported to PAF before they begin any activities. PAF will conduct a basic verification process to approve their participation in distributorship work. However, submitting a volunteer’s name does not guarantee that they will be verified or recommended by PAF.

  • While PAF facilitates the verification process and shares a list of verified volunteers (LVs) with distributors, the responsibility for selecting, overseeing, and guiding volunteers rests solely with the Authorized Distributor (signatory of the Agreement).

  • Distributors are encouraged to engage only those volunteers (from LV) who are actively involved and suitable for this role.

  • It is highly recommended that the distributor maintains an efficient team size that allows for easy management, ensuring that there are not too many volunteers involved in the operations.

  • Only volunteers who have been reported to and verified by PAF (LV) should participate in distributorship activities. 

Volunteers actionables

  • Volunteers must understand that the distributorship work is for self-growth and service; maintaining the right environment is key to this.

  • They must not claim to represent Acharya Prashant or the PrashantAdvait Foundation (PAF) in any way.

  • They must maintain professional attire, decorum, and a focused presence at all times.

  • Volunteers should avoid personal discussions, controversial statements, or debates with various institutional and business entities.

  • Volunteers must remain attentive to the behavior of entities and immediately report any suspicious activity to the authorized distributor.

  • Any inappropriate behavior by a volunteer may lead to the immediate suspension of distributorship.

8. Distribution Operations

Responsibilities & Logistics

  • The responsibility for setting up the bookstall, managing book stock, and handling logistics rests entirely with the Authorized Distributor.

  • All expenses related to the bookstall—including setup, logistics, and permissions—are to sole responsibility of the Authorized Seller.

Fund Collection:

  • No donations may be collected in the name of Acharya Prashant or PAF.

  • Any kind of fundraising activities, using the PAF books distributorship as a topic, reference, or premise are strictly prohibited.

9. Consent for Activities

Engagement with Institutions:

  • If you wish to supply/distribute or donate books inside schools, colleges, libraries, cafes, corporate offices, or similar venues, prior approval from PAF is required. 

  • Please send a request via email to books.outreach@advait.org.in, allowing 3-4 days for processing.

  • To avoid any misinterpretation of affiliation, distributors must not engage with institutions on behalf of PAF without consent. 

Distribution & Intellectual Property Use:

  • PAF books, images, quotes, videos, or other materials must not be distributed, donated, or gifted at any public or private event—including gatherings, conferences, NGO activities, or community programs—without prior written permission from PAF. This applies whether the distribution is commercial or voluntary.

  • Unauthorized distribution may result in suspension, revocation of book supply, or other necessary actions. Engaging third-party organizations for distribution without prior approval is also strictly prohibited.

  • Please note that seeking permission does not guarantee approval, kindly do not proceed without consent.

10. Bookstall Conduct and Reporting

  • Distributors must maintain a high standard of professionalism when dealing with bookstalls and commercial establishments. 

  • Any misconduct, policy violation, or unethical behavior by a bookstall must be immediately reported to PAF for review and action.

  • In case of a dispute between a distributor and a bookstall, the issue must be promptly reported to PAF.

  • Distributors must not take independent action against any bookstall without first consulting PAF.

11. Communication Channels


WhatsApp groups communication

  • Distributors are strictly prohibited from creating WhatsApp groups that include bookstalls members/volunteers from multiple entities for the purpose of book distribution. 

  • However, a group with a single entity can be created for the purpose of logistics related discussions. All such groups are required to be informed to PAF and a PAF member to be added to them. 

  • In order to broadcast information to all bookstalls on the sanctioned list, it is highly recommended to use the broadcast lists feature on WhatsApp.

Social Media communication

Distributors are not permitted to create independent social media pages, websites, or online platforms for any activities related to book distribution without prior approval from PAF.

  • Sharing Social Media Account Details

  • If you have any social media accounts (Twitter, YouTube, Instagram, etc.) pertaining to distributorship activity, please share the details with PAF in the prescribed format at the time of signing the new Undertaking.

  • Additionally, PAF may require information about the social media accounts of volunteers associated, as needed.

  • Guidelines for Social Media Usage

  • Clearly mention in your bio that your distributorship entity is independently run and not affiliated with Acharya Prashant or PAF.

  • When posting about Acharya Prashant or his books, always include a disclaimer. Example:
    "This is an independent initiative to share Acharya Prashant’s books. Not affiliated with Acharya Prashant or PrashantAdvait Foundation."

  • Maintain dignity, clarity, and authenticity in all posts.

  • If sharing visitors’ opinions, always obtain explicit verbal and recorded consent before filming or posting.

  • Keep your content focused only on books. Refrain from sharing personal interpretations of teachings.

  • Vlogs & Interviews

  • You are welcome to post vlogs, but they should focus only on books, and personal volunteer experiences— do not state any affiliation with PAF/Acharya Prashant directly or indirectly.

  • Ethical Conduct

  • Use respectful and polite language in all interactions. Be mindful of cultural sensitivities when recording and posting content.

  • If you come across misleading accounts falsely claiming affiliation with PAF/Acharya Prashant, kindly report them.

  • Prohibited Social Media Practices

  • Personal or distributorship-related social media accounts must not claim official representation or affiliation with PAF/Acharya Prashant.

  • Do not share private contact information (phone numbers, personal emails, etc.).

  • Kindly do not post content in the context of distributorship that engage in controversial, political, or sensational debates.

  • If any social media account violates these guidelines, it may be suspended immediately.

Ultimately, you are fully responsible for the content you share through social media accounts and will be held accountable for any violations.

12. Unfair Business Practices

  • Distributors must ensure fairness and impartiality in their dealings with all bookstalls.

  • All bookstalls on the sanctioned list must be treated equally without favoritism.

  • Distributors must not engage in price gouging, unfair withholding of books, or any form of exploitation.

  • Distributors must not engage in unauthorized surcharges, or any hidden pricing tactics.

  • Any misrepresentation of information to PAF, unauthorized sales outside the approved bookstall list, or unethical conduct will be considered a serious violation and may result in immediate suspension or termination of distributorship.


13. Purchase of Books

Where to Purchase:

  • Books for the bookstall must be obtained only through the official online B2B channel provided by PAF. 

  • To maintain consistency, books should not be purchased from any other source, including the PAF retail website, other official distributors or bookstalls, or online platforms.

Other Authors:

  • Since PAF assets—including books, posters, and pamphlets—are being used, the distributors should exclusively feature PAF books. Supplying books from other authors or publishers is not allowed.

  • If you wish to include selected books recommended by Acharya Prashant alongside PAF books, prior written approval is required. Please send your request, including the author’s name and book title, to books.outreach@advait.org.in.

14. Processing of Order for Acharya Prashant Books

  • Going forward, you can place bulk orders for books to set up bookstalls directly through our official online B2B website and or through.

  • An online account will be created for this purpose, and the process for account creation will be communicated once the Agreement has been signed.

  • Kindly note that the Minimum Order Quantity (MOQ) for ordering books for distributorship is 1000 (subject to revision in future). 

  • Orders can only be placed from within India and will be delivered exclusively to addresses within Indian borders. Please also note that orders from deliveries to non-serviceable postal codes may be delayed/cancelled/lost. PAF will not be responsible in such instances.

  • PAF follows a no-reshipping and no-refund policy for books. However, in case of a genuine grievance, the buyer must notify via email within 72 hours of delivery regarding any deficiencies, such as damaged or missing books, along with valid proof. In such cases, the decision by PAF shall be final and binding.

  • In exceptional cases, an order may be canceled even after receipt of the contribution. If such a situation arises, you will be promptly informed, and necessary steps for resolution will be taken.

15. Stock Management

  • Distributors must maintain sufficient stock levels to meet the book demands of all bookstalls on their sanctioned list.

  • Stock shortages must be prevented, and distributors must ensure that they have adequate inventory at all times.

  • If a distributor anticipates a supply issue or stock shortfall, they must immediately inform PAF.


16. Amendments and Compliance Enforcement

  • PAF reserves the right to update and amend compliance and reporting requirements as necessary.

  • Distributors are required to adhere to any changes in reporting formats, compliance procedures, or distribution policies as and when they are introduced.

  • Any such updates will be communicated to distributors in a timely manner.

17. Suspension of Distributorship

If any of the specified rules, regulations & guidelines are violated, false or misleading information is provided, or inappropriate behavior is observed, your permission for distributorship activities may be suspended immediately.

During the suspension period:

  • You will not be allowed to sell books or carry out any activities related to the distributorship to all applicable entities (the activities also include, but is not limited to, displaying catalogues, posters, or any other materials, distributing pamphlets, or engaging with colleges/institutions for book distributions or donations).

  • You cannot operate as an authorized distributor in any private or public space under any circumstances during the suspension period.

  • PAF reserves the right to block your B2B online account, cancel pending orders, or suspend book supplies if necessary.

In such a case, you will receive an official email from PAF, allowing you to provide an explanation regarding the violation. PAF will carefully review all information before making a final decision, which will be binding.

18. Signing of the official Agreement

To continue placing book orders and distributing Acharya Prashant's books as official distributors, signing the official agreement with PAF is mandatory.

An official email for the official agreement along with all necessary details and requirements shall be sent after fulfillment of all eligibility requirements. 

By signing this agreement, you:

  • Acknowledge and commit to following all the rules and regulations outlined above.

  • Ensure that all volunteers involved are fully aware of these guidelines.

  • Submit all necessary documents and declarations as specified in the Agreement email.

  • Receive confirmation from PAF only after completing all formalities successfully.

Compliance & Submission Requirements:

  • A complete and accurate response, including all required documents, must be submitted within 7 days to allow for processing, account setup, and approval.

  • Failure to submit the necessary documents or submitting incorrect/incomplete information will result in the agreement not being accepted, thereby restricting your ability to place book orders or operate as distributors.

Transition Period & Compliance:

  • The previous Undertaking is now null and void, and all distributorship activities must align with the new agreement. However, a 20-day transition period is provided for compliance.

  • If the official agreement is not signed and submitted within 20 days, it will be assumed that you no longer wish to continue distributor operations or place book orders.

  • Any book distribution beyond this period, without signing the new agreement, will be considered unauthorized and subject to legal consequences under copyright law.

  • Please note that the official agreement shall be signed for a period of 11 months, subject to renewal. 



















ANNEXURE 2

 DECLARATION



I, ____________, authorized representative of the _____________, have given the undertaking w.r.t the purchase/supply of books with the PrashantAdvait Foundation [PAF]. In terms of the said undertaking, I am providing the following details to the Foundation:


  1. I have formed the WhatsApp group(s) for the purpose of logistical reasons of doing the necessary work under the agreement. I undertake to run the said WhatsApp group(s) in a legal manner and the Do’s and Dont’s as provided by the PAF will be adhered to by all the members of the group, in case some member violates the same then I will take necessary actions not limited to removing him/her from the group.

  2. Presently I am running/managing the following social media accounts and in none of the social media accounts I claim any association (directly or indirectly) with the PAF. In case, I have claimed any association (directly or indirectly) with PAF through any of the content in any of my social media accounts. I undertake to remove the same immediately and I am providing the details of all such accounts to PAF.

  3. I also declare that I will not show any association with the PAF in any manner whatsoever and I also declare that I will not take any engagement either in online medium or through offline mode in the name of PAF without taking prior approval for the same from the PAF.

  4. I undertake to provide the details of all the volunteers of the PAF who will help at the bookstall. I will also provide the volunteers with fair treatment and I will treat volunteers with respect and dignity.

  5. I undertake to use the canopies, banners, pamphlets, posters in the stall in the same format, design etc. As provided by the PAF and I also undertake that I will not modify the same in any way.

  6. I undertake to provide photos of all designs of the canopies, banners, pamphlets, posters being used in the stall. In case, they are found to be unacceptable, I undertake to discontinue their use and only use the designs approved by the Foundation. I further state that mere approval of the designs of the canopies, banners, pamphlets, posters by PAF will not be an acceptance to use the same. That the use of the canopies, banners, pamphlets, posters etc. would be as per my discretion depending upon the situation prevailing at the place where store/stall has been set up including but not limited to the awareness and beliefs of local population, religious beliefs, religious events etc.
